Societies/Associations are organizations formed for a particular purpose or activity. They are registered under the Societies Act.

Societies/Associations in Kenya are registered under the Societies Act. Political parties, Churches, Welfare associations, Sports associations, and Private members clubs can all be registered under the societies Act as Societies.

Requirements for registration of a society.

  1. Proposed names for search and approval;
  2. Objects of the society;
  3. The number of members in the society (At least 10 members);
  4. The names, occupation and postal addresses of the Chairman, treasurer and secretary;
  5. Proposed Physical address of the society. Address includes road, plot number, town, and county;
  6. Constitution for the society;
  7. Form A (application for registration of a society)
  8. Form B ( notification of registered office and address of a society)

 Procedure for registration of a society

Name search: A name search is conducted to ascertain if proposed names are available for registration.

Preparation of the constitution and relevant forms: The society’s constitution is then prepared and Forms A and B are filled.

Lodging of the documents for registration: The forms duly filled and the constitutions are then lodged with the registrar of society accompanied with the prescribed fee.

Issuance of a Certificate of Registration: If the application is approved a certificate of registration of society is then issued. If the application does not comply with the societies rules a Notice of refusal is issued.

A Limited Liability Partnership (LLP) is a partnership in which some or all partners have limited liability.

In an LLP, one partner is not responsible or liable for another partner’s misconduct or negligence.

FEATURES

  1. MEMBERSHIP: It must have at least 2 partners and 1 manager. The partners may be natural persons or bodies corporate. However, the manager(s) must be a natural person.
  1. BODY CORPORATE: An LLP is a separate legal entity from its partners. In this respect, it is similar to a company, and different from a typical partnership. It thus can acquire/own/hold and dispose of movable and immovable properties (including land) and can sue and be sued in its own name.Whereas the Act establishing LLP is silent, it is believed that this Corporate feature enables an LLP to create Securities for Loans and charge them like any other Companies.
  1. LIABILITY: Partners of an LLP are not liable for the firm’s debts and obligationsnor are they liable for each other’s debts and obligations. This is not the case with general partnerships.However, individual partners in an LLP are liable for their own wrongful acts or omissions. The LLP is also liable for a partner’s wrongful acts or omissions, to the same extent as that partner, where the partner is engaging in the LLP’s business or acting with its authority.
  1. PERPETUAL SUCCESSION: LLPs enjoy Perpetual Succession in that, in the event of death or exit of any one or more Partners, the same does not affect the existence of the LLP.
